Does Your DIFC Company Need an Audit?
Most DIFC company owners don’t know if they qualify for a mandatory annual audit. Under DIFC Companies Law No. 5 of 2018, every DIFC registered entity must submit audited financial statements to the DIFC Registrar of Companies within four months of their financial year end. A DIFC registered auditor is a firm entered on the DIFC Register of Auditors, authorised to sign off DIFC company accounts.
Your private DIFC company may qualify for the small company exemption but only if it stays below the USD 5 million turnover threshold and the 20 shareholders threshold. Holding companies and firms listed on the DIFC public register don’t qualify. A DIFC Registrar registered auditor or DFSA Registered Auditor must verify your IFRS compliant financial statements or non compliance penalty risk during license renewal applies.
